The Site is owned or operated by StrataVida Management Group LLC (“StrataVida,” “SVMG,” “we,” “us,” or “our”).
By accessing or using the Site, you acknowledge and agree to these Terms and our Privacy Policy. If you do not agree with these Terms, you should not use the Site.

Unless StrataVida has expressly agreed in writing to receive information on a confidential basis, submission of materials through general website channels does not create a confidential, fiduciary, advisory, or other special relationship between you and StrataVida.
StrataVida is not obligated to review, evaluate, acknowledge, retain, or respond to unsolicited business proposals, concepts, ideas, inventions, strategies, or other submissions.
Nothing in this section transfers ownership of intellectual property to StrataVida merely because it was submitted through the Site.
8. Portfolio Organizations
The Site may describe businesses, programs, platforms, intellectual property, and strategic ventures associated with the StrataVida enterprise.
References to the StrataVida “portfolio,” “businesses,” “organizations,” “ventures,” or similar terms are used for corporate and informational purposes and should not be interpreted as eliminating the separate legal identity, obligations, responsibilities, governance requirements, or contractual relationships of any separately organized entity.
Products, programs, professional offerings, employment opportunities, or other activities provided by a portfolio organization may be governed by separate terms, policies, agreements, and legal requirements.
When interacting directly with a portfolio organization, you should review the terms and policies applicable to that organization or activity.
9. News, Insights, and Forward-Looking Information
The Site may contain articles, commentary, strategic perspectives, portfolio updates, planned initiatives, expected developments, or other forward-looking information.

To the fullest extent permitted by applicable law, StrataVida disclaims warranties including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and security.
Nothing in these Terms excludes warranties that cannot lawfully be excluded.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRATAVIDA MANAGEMENT GROUP LLC AND ITS APPLICABLE AFFILIATES, OFFICERS, MANAGERS, EMPLOYEES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR YOUR RELIANCE ON SITE CONTENT.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless StrataVida Management Group LLC and its applicable officers, managers, employees, representatives, and agents from claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful misuse of the Site, violation of these Terms, or infringement of another party's rights.

Your use of the Site is also subject to our Privacy Policy, which describes certain practices concerning information collected through the Site.
The Privacy Policy is incorporated into these Terms by reference where permitted by applicable law.
17. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute concerning the Site or these Terms will be subject to the jurisdiction and venue required or permitted under applicable law.
Counsel-review note: Because SVMG has both Delaware and Georgia organizational considerations, I would specifically have counsel confirm this provision before final adoption. Do not simply assume Delaware should govern because of the entity architecture.
18. Changes to These Terms
We may revise these Terms periodically to reflect changes in the Site, our business, applicable law, or other circumstances.
The Last Updated date at the beginning of these Terms identifies the most recent revision.
Continued use of the Site after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
19. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, without affecting the validity and enforceability of the remaining provisions.
20. Entire Agreement
These Terms, together with the Privacy Policy and any other terms expressly applicable to a particular Site feature, constitute the agreement between you and StrataVida concerning your general use of the Site.
Separate written agreements between you and StrataVida or a portfolio organization remain governed by their respective terms.
